Terms

Credit terms are net thirty-days (30) with approved credit. All accounts with open amounts past forty five days will be placed on credit hold and shall remain on hold until monies are received by BEM Packaging paying all past due amounts. The purchaser shall pay interest at one and one-half (1.5%) per month on any and all open amounts 60 days old from date of invoice. Purchaser shall pay all costs of collection, including reasonable attorney's fees in the event of default.

Returns

All products will perform in substantial accordance with the applicable specifications for a warranty period of 60 days from date of invoice. Given proper written notice of any product's failure to perform within the warranty period, BEM Packaging shall at its election replace such defective product or issue a credit back to the customer for the amount paid. Unauthorized returns will be refused. Returns due to overstocking or customer ordering error will be charged a 20% restocking fee plus any freight charges incurred by BEM Packaging. Non-stock items or specialty items may not be eligible for return.

Pricing

All prices are subject to change without notice and will be billed at the prevailing price at the time of shipment. Purchaser will be responsible for, and will pay or reimburse BEM Packaging for, any sales, use, excise or other taxes, however designated or levied (excluding any taxes paid by BEM on BEM's income), based upon this agreement. Tax exemption status is granted only to those who have provided the proper tax-exempt certificates to BEM Packaging.

Freight Claims

All freight claims for loss or damage must be made the next business day after receipt of shipment to customer service at BEM Packaging. After such time all claims must be made directly to the freight carrier.

Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Florida. Parties agree to the jurisdiction of the State of Florida.

Further, this agreement is the complete, final and exclusive statement of the terms and conditions and supersedes any and all other prior and contemporaneous negotiations and agreements, whether oral or written. No amendment to this agreement is effective unless in writing and signed by both parties.
